TERMS OF USE AGREEMENT

This Adventure Pass Agreement ("Agreement" or "Adventure Pass") is offered by Adventure Pass, LLC a Wyoming limited liability company (hereinafter referred to as "Resort Operator") whose primary address is 1930 N Poplar St, Southern Pines, NC 28387.

The Adventure Pass entitles Pass Holder(s) (defined below) to stay and camp for free at their choice of one (1) of the ten (10) premiere camping and RVing resorts owned and operated by Travel Resorts of America and located throughout the Northeast, Southeast and Midwest (individually, a "Resort," collectively, "Resorts") for an initial period of one year and for any subsequent renewal period.

The Adventure Pass also entitles Pass Holder(s) to automatic enrollment in the Good Sam Coast to Coast Classic Membership program, which provides members discounted RV camping at Coast to Coast network resorts. Membership also includes discounted RV camping at Good Neighbor Parks, access to the Tripsetter reservation system, Trip Plus discounts, Coast Travel Services, and rentals at network resorts. Duration of Agreement. The Adventure Pass will commence on the date of the full execution of the Agreement and purchase and will have a duration of one (1) year ("Initial Term").

Pass Holder. "Pass Holder(s)" shall mean the purchaser and his or her spouse or legal cohabitant. The Adventure Pass is limited to one (1) per family and includes use by any dependent children of Pass Holder(s) under the age of twenty-one (21).

Automatic Renewal of Agreement. Upon expiration of the Initial Term, the Adventure Pass will renew automatically for a term of one (1) year and will continue to renew for each subsequent year thereafter (each a "Renewal Term") until such time that the Pass Holder(s) or Resort Operator terminate the agreement. Pass Holder(s) will be notified not less than thirty (30) days in advance of the date of automatic renewal via the email Pass Holder(s) provides to Resort Operator. Pass Holder(s) have fifteen (15) days prior to the date of the automatic renewal to cancel the Adventure Pass to avoid being charged for the renewal. Pass Holder(s) may cancel the automatic renewal of the Adventure Pass by email to apsupport@travelresorts.com or by telephone at (855) 481-6542. Notwithstanding the foregoing, Resort Operator may elect at any time without notice to not permit renewal.

The Adventure Pass is subject to all fees, expenses and obligations as stated herein. After the expiration of the Adventure Pass, the Pass Holder(s) will have no more rights under this Agreement nor rights to any of Resort Operator's facilities, unless Pass Holder(s) upgrades their membership status.

Renewal of Coast to Coast Classic Enrollment. Upon expiration of the Initial Term, a separate renewal notification will be sent to the Pass Holder(s) by Coast to Coast. The Coast to Coast membership will not automatically renew. The Pass Holder(s) will be responsible for renewing and paying their annual dues directly with Coast to Coast in all subsequent years.

Adventure Pass Fee. Pass Holder(s) shall be responsible for payment of all Adventure Pass fees (hereinafter referred to as "Maintenance Fees") for the period of this Agreement. The Maintenance Fees for the Initial Term may be paid in full, or in monthly installments, to be determined at the time of purchase, in the total amount of $699.00 plus any applicable taxes. Maintenance Fees for each Renewal Term will be billed at the commencement of the Renewal Term, in the same amount and installments selected at the time of initial purchase. Discounts may be applied at the time of purchase but may not be continued in subsequent years. Maintenance Fees for Renewal Terms may be increased from time to time without limitation at Resort Operator's sole discretion. Resort Operator will notify Pass Holder(s) at least forty-five (45) days prior to the effective date of the increase to allow Pass Holder(s) an opportunity to cancel prior to the first renewal at the new rate. Failure to pay any Maintenance Fees will result in the suspension or cancellation of the Adventure Pass.

Money Back Guarantee. Pass Holder(s) may request a full or partial refund of any fees paid for the Initial Term, to be paid at the discretion of Resort Operator, if Pass Holder(s) have not reserved or stayed for more than two (2) consecutive nights at any Resort Operator resort recreation facility included as part of the Adventure Pass within 30 days of the date of purchase.

Terms of Use. Pass Holders(s) may use their selected Adventure Pass home resort recreation facilities on a day use basis for any continuing number of days and on an overnight basis for up to seven (7) consecutive nights. There is a fourteen (14) day waiting period before Pass Holder(s) can resume camping overnight following any overnight camping of four (4) or more consecutive nights. Reservations for usage are required and cannot be made more than thirty (30) days in advance of the date of arrival and check-in. All unreserved sites will be distributed on a first come, first serve basis. The Resort Operator reserves the right to change reservation systems and procedures to best serve the interests of the Resorts and its members. Only Pass Holder(s), as defined above, may make reservations. Only the defined Pass Holder(s), their spouse or legal cohabitant and children may stay overnight at the Resort.

Rocky Fork Ranch Resort Three hundred sixty-one (361) camping sites have been developed on the eight hundred sixty-six (866) acre property at Rocky Fork Ranch Resort. A unique campground offering the perfect combination of amenities and rustic camping. Over 200 campsites plus 101 lodging facilities make up the developed portion of Rocky Fork Ranch. Ham Lake Resort One hundred forty-seven (147) camping sites have been developed on the seventy-three (73) acre property at Ham Lake Resort. The amenities offed at Ham Lake Resort include shady grassy tent sites, RV sites, two (2) private ponds, access to Ham Lake, swimming beach, fishing dock, playground, community fire pit, horseshoe pits, a convenience store, laundry facilities, free hot showers, clean restrooms, and a covered pavilion. St. Croix Riverside Resort One hundred seventy-six (176) camping sites have been developed on the seventy-five (75) acre property at St. Croix River Resort. The amenities offered at St. Croix River Resort include shaded grassy tent sites, shaded RV sites, heated swimming pool, a playground, fire pits, horseshoe pits, a clubhouse with a convenience store, laundry facilities, free hot showers, clean restrooms, and access to the St. Croix River Resort. Hidden Bluffs Resort Hidden Bluffs Resort One hundred and four (104) camping sites have been developed on the one hundred ninety-five (195) acre property at Hidden Bluffs Resort. The amenities offered at Hidden Bluffs Resort include shaded grassy tent sites, shaded RV sites, a playground, a clubhouse with a convenience store, laundry facilities, shower houses with free hot showers, clean restrooms, a natural stream running through the property, a miniature golf course, a swimming pool, and maintained hiking trails. Rushmore Shadows Resort One hundred eighty-two (182) camping sites have been developed on the fifty (50) acre property at Rushmore Shadows Resort. The amenities offered at Rushmore Shadows Resort include shaded, grassy tent sites, shaded RV sites, pull-thru RV sites, an outdoor heated swimming pool, a hot tub, a playground, sports courts and equipment, a bon firepit, horseshoe pits, a clubhouse with a convenience store, laundry facilities, free hot showers, clean restrooms, and bus tour access. Privilege of Adventure Pass. Resort Operator shall provide all management of its facilities and retains all management responsibility and authority to carry out this role, including, but not limited to, administration of the Adventure Pass rights provided in this Agreement, maintenance of Resort Operator’s facilities in a manner that permits Pass Holder(s) the reasonable use and enjoyment of their Adventure Pass, and payment of all property taxes, insurance, utilities, and other ordinary and necessary expenses of Resort operations. Resort Operator reserves the right to add, remove or modify facilities and/or Resort Operator’s properties, as it deems appropriate, in its sole discretion. Use privileges are subject to Pass Holder(s)’s observance of the Resort rules and guideline, of which Pass Holder(s) acknowledges receipt, any other rules and guidelines of the Resort as may now exist or as may be established from time to time by the Resort Operator, and any ordinance of a governmental authority. The location and nature of all facilities and properties are subject to change by the Resort Operator. The Resort Operator shall use its best effort to maintain and improve the existing quality of such facilities and properties but shall be under no obligation to improve the quality or increase the number of facilities. PURCHASE A MEMBERSHIP CAMPING CONTRACT ONLY ON THE BASIS OF EXISTING FACILITIES. CONSTRUCTION OF PLANNED FACILITIES MAY SOMETIMES BE DELAYED OR TERMINATED FOR A VARIETY OF REASONS.

Transferability. The extent to which Resort Operator is obligated to replace any campgrounds or facilities withdrawn, the Adventure Pass is not exclusive to the Pass Holder(s) herein described and, therefore, the Adventure Pass is not transferable under any circumstances, voluntarily or involuntarily. Any Pass Holder(s) transferring or attempting to transfer, voluntarily or involuntarily, their Adventure Pass shall be in default under this Agreement, shall have his or her Adventure Pass revoked, and the transfer or attempted transfer shall be null and void and of no legal effect. For purposes of this Agreement, the term “transfer” shall mean any direct or indirect sale, exchange, transfer, assignment, or other disposition, whether voluntary or involuntary.

Suspension, Reinstatement. Any failure of Pass Holder(s) to timely meet Pass Holder(s)’s obligation for the Maintenance Fees, or any repeated violation or willful abuse of Pass Holder(s)’s obligations under this Agreement may result in suspension of Adventure Pass privileges. Suspension requiring prior written notice will not be imposed if the grounds for suspension have been corrected to the Resort Operator’s reasonable satisfaction within the notice period. If in the Resort Operator’s reasonable judgment, the violation is one which has or will significantly threaten the health, safety, property or membership rights of other members and Pass Holders, or interfere with administration by the Resort Operator, the Resort Operator may immediately suspend Pass Holder(s)’ use privileges without notice to Pass Holder(s). Any suspension of Adventure Pass privileges will not relieve Pass Holder(s) from Pass Holder(s)’s obligation for the Maintenance Fees and will not result in a refund of Maintenance Fees paid. Reinstatement of Adventure Pass privileges shall be made when the reason for the suspension has been fully corrected to the Resort Operator’s reasonable satisfaction. Reinstatement may be subject to such reasonable conditions as deemed appropriate by the Resort Operator to prevent further violations.

Permission To Contact. (a) You agree that Adventure Pass, LLC and its partner entity Travel Resorts of America may contact you with account alerts, reservation reminders, payment reminders, and other non-marketing communications at your telephone number(s) on file with Adventure Pass, including by use of an automated dialer, prerecorded messages, and/or text messages. Your consent to these communications is a necessary component of this agreement and is not revocable. Message and data rates may apply for text messages.

(b) You agree that Adventure Pass, LLC and its partner entity Travel Resorts of America may contact you with offers and promotions at the telephone number(s) on file with Adventure Pass, including by use of an automated dialer, prerecorded messages, and/text messages. Your consent is not required as a condition of purchase. Message and data rates may apply for text messages.

ADDENDUM A

TERMS AND CONDITIONS OF INDIVIDUAL COAST TO COAST MEMBERSHIP

MEMBERSHIP. Coast to Coast administers a reciprocal-use resort system for the members of Coast to Coast membership programs. Memberships include an assortment of Coast to Coast travel benefits which are more fully described in your membership directories and other available collateral materials. Classic membership dues are $109.95* per year. (A $14.00* annual subscription to Coast to Coast Magazine is included as part of the membership fees.)

RULES, REGULATIONS AND PROCEDURES. Your participation in Coast to Coast's programs is subject to all of the additional fees, rules, regulations and procedures described in the Coast to Coast directory, on the CoastResorts.com website, and such additional or different fees, rules, regulations or procedures as may be announced by Coast to Coast from time to time. You acknowledge you have reviewed and agree to Coast to Coast's current fees, rules, regulations and procedures set forth in the directory and on the website - including pricing, availability and risks - and you understand that they are subject to change at any time.

HOME RESORT.

  1. You must be a dues paying member in good standing with full benefits at your home resort to participate in the Coast to Coast program. You are only entitled to one Coast to Coast membership, so if you belong to more than one participating resort, your home resort of record is where you purchased your first resort membership.
  2. If your home resort ceases to participate in the Coast to Coast program for any reason, your Coast to Coast membership will remain in effect for the remainder of your membership term, thereby allowing you a reasonable period of time to become a member of another resort participating in the Coast to Coast program without interrupting your Coast benefits.
  3. You acknowledge and agree that you are satisfied with your home resort and that you have become a member of your home resort based primarily on the attributes of that resort, the opportunity to become a member of Coast to Coast being a secondary consideration.
  4. Resort participation in the Coast to Coast program is conditional upon the resort's adherence to Coast to Coast regulations pertaining to standards, appearance, management and operation. Furthermore, continued participation is contingent upon the resort remaining in business and servicing home and visiting Coast to Coast members.
  5. Coast to Coast does not operate or manage your home resort or any other participating resort in the system. Coast to Coast does not purport to sell, lease, or otherwise devise or convey any interest in any real property or any resort membership. The relationship of Coast to Coast and the participating resorts is strictly governed by the participation agreement between Coast to Coast and the resorts. Coast to Coast is not responsible or liable for the resorts, their operations or their arrangements or agreements with you. Complaints or claims of any transaction shall be between the individual members and the resort.

TRIP POINTS. In order to book an RV camping reservation at a participating resort, you must have the requisite number of Trip Points available for redemption. Trip Points are stored value instruments that may be purchased via the Coast to Coast member website. Trip Points may also be earned as a result of promotional or other offers. Trip Points are not refundable and are not redeemable for cash, unless otherwise required by state law. Trip Points are only redeemable for stays at a participating resort. Trip Points that you purchase do not expire; however, non-purchased Trip Points that you may receive are subject to the stated expiration date. You agree that maintaining an active Coast to Coast membership is a condition that must be satisfied in order to be eligible to purchase, earn, gift or otherwise redeem Trip Points. If your membership becomes delinquent or inactive or you terminate your membership, your Trip Points will no longer be available for redemption; however, your Trip Points will become available for redemption in the event that you subsequently reactivate or renew your membership. Trip Points may be gifted to another currently active Coast member subject to a $10 administrative fee. MEMBERSHIP TRANSFERABILITY. Coast to Coast memberships are not transferable.

AVAILABILITY. The use of facilities (sites or rental accommodations) is on a reservation and space-available basis. Coast to Coast does not guarantee fulfillment of specific reservation requests. Availability of space may be limited at resorts located in the "sunbelt" and other high-demand areas due to seasonal conditions.

RIGHT TO TERMINATE. If at any time and for any reason you are dissatisfied with the Coast to Coast programs, you may immediately terminate your Coast membership by written notice to Coast to Coast. Any such termination does not release you from your contractual obligations with your home resort. A reinstatement fee of $150* will apply if your membership is delinquent for more than 180 days.

NONRESPONSIBILITY. Coast to Coast is not a provider of accommodations and is not responsible for the physical or financial condition, or any other aspect of participating resorts, or for any statements made by any agent of any participating resorts at the time a membership is purchased or afterwards. Coast to Coast is not responsible for any personal or property damage resulting from the acts, omissions or negligence of any participating resort or its employees or agents. Directory information is provided by the resort management and is assumed to be correct. Coast to Coast is not liable for misrepresentations or problems arising from accommodations at any participating resort or any other matters that affect or inconvenience the user's vacation.

LIABILITY. Coast to Coast's liability to you in all respects is limited to the amount of your Coast to Coast annual membership fee for a specific year.

GOVERNING LAW. This agreement is effective when accepted by Coast to Coast at its home office in the State of Colorado, and shall be governed exclusively by the laws of the State of Colorado, without regard to conflicts of law.

ARBITRATION OF DISPUTES. Any dispute you may have with Coast to Coast will be finally decided by arbitration in accordance with the Rules of the American Arbitration Association's ("AAA") United States Commercial Dispute Resolution Procedures and Supplementary Procedures for Consumer-Related Disputes by one arbitrator appointed in accordance with such rules. These rules and procedures are available by calling the AAA toll free at 1-800-778-7879 or by visiting its web site at www.adr.org. All deposits and fees required by AAA to commence the arbitration shall be advanced by Coast to Coast.
